We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to current clients under active agreements.

You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the Site in any way that violates applicable local, state, national, or international law
• Transmit any unsolicited or unauthorized advertising or promotional material

5. Client Accounts and Data

You represent and warrant that you have all rights and permissions necessary to share such data with us and to authorize us to act on your behalf within those platforms.

You are responsible for ensuring that any contact data provided to Shocard complies with applicable laws, including CAN-SPAM, TCPA, GDPR, and other applicable email and privacy regulations.

6. Payment and Fees

Fees for services are as set forth in your signed Service Agreement. Invoices are due on the dates specified in your agreement. Late payments may result in a temporary pause of active services as outlined in your Service Agreement.

A payment processing fee may be applied to transactions processed through our payment platform. This fee, where applicable, will be disclosed at the time of payment.

7. Disclaimer of Warranties

This Site and all information, content, and services provided through it are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Shocard does not guarantee specific marketing results, lead volumes, revenue outcomes, or campaign performance. Results depend on many factors outside our control, including market conditions, platform algorithm changes, and the client's own sales process.

8. Limitation of Liability

To the fullest extent permitted by law, Shocard Worldwide LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms or a Service Agreement shall not exceed the total fees you paid to us in the three (3) months preceding the claim.

9. Third-Party Links and Services

Our Site may contain links to third-party websites or services. These links are provided for your convenience only. Shocard has no control over the content or practices of those sites and assumes no responsibility for them. Accessing third-party sites is at your own risk.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
